1. Agreement to terms
By accessing or using the ShopGrow.io website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.
2. Services
ShopGrow.io provides Shopify development, SEO, and related digital services to e-commerce businesses. The specific scope, deliverables, timeline, and pricing for each project are agreed upon in a separate written proposal or contract signed by both parties.
3. Payment terms
Payment terms are outlined in your project proposal. For one-time projects, a deposit is required before work begins with the balance due upon completion. For monthly retainers, invoices are issued at the start of each billing period. All payments are non-refundable unless otherwise stated in writing.
4. Intellectual property
Upon receipt of full payment, ShopGrow.io transfers ownership of all custom work created specifically for your project to you. This excludes any third-party tools, themes, plugins, or assets which remain subject to their own licences. ShopGrow.io retains the right to showcase completed work in its portfolio unless you request otherwise in writing.
5. Client responsibilities
You agree to provide timely access to required accounts, assets, and feedback. Delays caused by late client responses may extend project timelines. ShopGrow.io is not liable for delays caused by the client's failure to provide necessary information or approvals.
6. Limitation of liability
ShopGrow.io's liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for any indirect, incidental, or consequential damages, including loss of profits or revenue.
7. SEO results disclaimer
While we work diligently to improve your search rankings, we cannot guarantee specific rankings or traffic outcomes. Search engine algorithms change frequently and results vary by market, competition, and other factors outside our control.
8. Termination
Either party may terminate a monthly retainer with 30 days written notice. One-time project contracts may be terminated as specified in the individual project agreement. Upon termination, you are responsible for fees for work completed up to the termination date.
9. Governing law
These Terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.
